This privacy policy (“Privacy Policy”) covers our treatment of personally identifiable information (“Personal Information”) that we gather when you are accessing or using our websites and service (“Services”) offered at codal.com (“Codal”, “we”, “us” or “our”) but not to the practices of companies we don’t own or control, or people that we don’t manage.

The EU General Data Protection Regulation (“GDPR”) and the UK GDPR are included in our Privacy Policy and the specific section applies to our processing of personal information of European, United Kingdom, and Swiss consumers.

What information do we collect and for what purpose?

The following chart shows the categories of personal information that we have collected during the past twelve (12) months, the sources of such information, and the business or commercial purposes for which we may use such information. For all categories of personal information collected, we may disclose data to our service providers and other third parties to help us accomplish the business purposes described below.

We are constantly improving our Services, so we may need to change this Privacy Policy from time to time as well. We post any changes we make to our Privacy Policy on this page. The date the Privacy Policy was last updated is identified at the top of this page. You are responsible for periodically visiting our website and this Privacy Policy to check for any changes. If you use the Services after any changes to the Privacy Policy have been posted, that means you agree to all of the changes. Use of information we collect is subject to the Privacy Policy in effect at the time such information is used.

How we use cookies and other tracking technology to collect information

“Cookies” are unique identifiers that we transfer to your browser or device to allow us to recognize your browser or device for future visits to help us ascertain how and when you use certain pages and features of our website. We use cookies and similar technologies to recognize your repeat visits and preferences, as well as to measure the effectiveness of campaigns and analyze traffic. Through cookies we place on your browser or device or through our browser extension, we may collect information about your online activity after you leave our Services. Just like any other usage information we collect, this information allows us to improve the Services and customize your online experience, and otherwise as described in this Privacy Policy.

Log Files

As is true of most websites, Codal uses third-party tracking services to gather certain information automatically and store it in log files. This information includes internet protocol (IP) addresses, browser type, internet service provider, ISP, referring/ exit pages, operating system, date/ time stamp, and clickstream data.

We use this information, which does not identify individual users, to analyze trends, to administer the site, to track users’ movements around the site and to gather demographic information about our user base as a whole.

Google Analytics

This website uses a tool called "Google Analytics" to collect information about use of the site. Google Analytics collects information such as how often users visit this site, what pages they visit when they do so, and what other sites they used prior to coming to this site. We use the information we get from Google Analytics only to improve this site. Google Analytics collects only the IP address assigned to you on the date you visit this site, rather than your name or other identifying information. We do not combine the information collected through the use of Google Analytics with personally identifiable information. Although Google Analytics plants a permanent cookie on your web browser to identify you as a unique user the next time you visit this site, the cookie cannot be used by anyone but Google. Google's ability to use and share information collected by Google Analytics about your visits to this site is restricted by the Google Analytics Terms of Use and the Google Privacy Policy. You can prevent Google Analytics from recognizing you on return visits to this site by disabling cookies on your browser.

Keeping your information safe

We care about the security of your information and use commercially reasonable physical, administrative, and technological safeguards to preserve the integrity and security of all information collected through our Service. However, no security system is impenetrable, and we cannot guarantee the security of our systems 100%. In the event that any information under our control is compromised as a result of a breach of security, we will take reasonable steps to investigate the situation and, where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

Your specific rights in respect of your personal information if you are located in the EU, UK, or Switzerland

For the purposes of EU data protection laws, Codal is a data controller (i.e., the company who is responsible for, and controls the processing of, your personal data). If you are located in the EU, UK, or Switzerland, per the GDPR and UK GDPR you have the following rights in respect of your personal data that we hold:

  1. Right of access. The right to obtain access to your personal data;
  2. Right to rectification. The right to obtain rectification of your personal data without undue delay where that personal data is inaccurate or incomplete;
  3. Right to erasure. The right to obtain the erasure of your personal data without undue delay in certain circumstances, such as where the personal data is no longer necessary in relation to the purposes for which it was collected or processed;
  4. Right to restriction. The right to obtain the restriction of the processing undertaken by us on your personal data in certain circumstances, such as where the accuracy of the personal data is contested by you, for a period enabling us to verify the accuracy of that personal data;
  5. Right to portability. The right to portability allows you to move, copy or transfer personal data easily from one organization to another; and
  6. Right to object. You have a right to object to processing based on legitimate interests and direct marketing.

International Users outside of the United Kingdom, European Union, and Switzerland

If you are receiving Services from the European Union, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure that differ from United States laws, be advised that through your continued use, which is governed by the law of the United States and this policy, you will be transferring your personal information into the United States and you consent to that transfer. Your information may be stored and processed in any country where we have facilities or in which we engage third party service providers. By using our Services, you consent to the transfer of information to countries outside your country of residence, which may have different data protection rules than in your country. While you do not have the same extensive rights of data access and deletion as users from the EU, UK, and Switzerland, you may still make a privacy request and we will do our best to comply with your request, provided it is no more egregious than the rights given in the GDPR.

2. Terms of Use

These Terms of Use apply to the services offered by Codal, Inc. (“Codal”, “we”, or “our”) in connection with the website www.codal.com (the “Site” or “Services”). Any individual who visits, views, accesses, or uses any version of the Site, including directly or through other automated means (“User” or “you”) is bound by these Terms of Use. By using the Site, you represent and warrant that you are at least eighteen (18) years of age and you hereby agree to be bound by all of the following provisions of these Terms of Use, which form a legally binding contract between you and Codal. If you do not agree to these Terms of Use, you are prohibited from accessing the Site and must immediately discontinue such access. By using our Site, you acknowledge that you have read, understood, and accept this agreement.

2.1. Changes to this Agreement

As our Services grow, these Terms of Use will change with it. Codal may revise these Terms of Use at any time without notice. Therefore, you should check this page periodically to review the Terms and Conditions. Your continued use of this Site indicates your acceptance of those new Terms of Use.

2.2. Services Offered

Codal, is a design and development company that executes projects for local, national, and international clients. Codal's services include UX/UI design, mobile application development, and web development. The content on the Site is for informational purposes only, you should not construe any such information or other material as professional or technical advice. Nothing contained in our Site constitutes a solicitation, recommendation, endorsement, or offer by Codal. All content on this Site is information of a general nature and does not address the circumstances of any particular individual or entity. Nothing in the Site constitutes technical advice nor does any information on the Site constitute a comprehensive or complete statement of the matters discussed or the law relating thereto. You alone assume the responsibility for evaluating the merits and risks associated with the use of any information or other content on the Site before making any decisions based on such information or other content. In exchange for using they Site, you agree not to hold Codal, its affiliates or any third party service provider liable for any possible claim for damages arising from any decision you make based on information or other content made available to you through the Site.

2.3. Consent to Communications

By using the Services, you consent to receiving certain electronic and SMS communications from Codal. you agree that any notices, agreements, disclosures, or other communications that we send to you electronically or via SMS will satisfy any legal communication requirements, including that those communications be in writing. 2.4. Data Privacy

Codal will collect, use, store, and disclose personal information in accordance with its Privacy Policy. Please consult the Privacy Policy at above for more information, which is incorporated into, and made a part of, these Terms of Use.

2.5. User Content

You agree to treat all information obtained from the Services, including Codal materials and any information otherwise made available to you on the Services (individually and collectively, the “Content”) as proprietary to Codal and shall be protected as a trade secret of Codal. We do not ensure the accuracy of, endorse or recommend any Content, and you use such Content at your own risk.

You shall not use any information obtained from the Services for further distribution, publication, public display, or preparation of derivative works or facilitate any of these activities in any way except for the purpose of authorized promotion. You shall not use or reproduce any Content obtained from the Site, or otherwise made available to you on the Site, for or in connection with any other UI/ UX services. You shall not remove, erase, or tamper with any proprietary stamp associated with the Site. You shall not use any robot, spider, or other automated process to monitor, data mine, copy products; decompile, decode or reverse engineer software; use the Services in an unlawful manner, such as for offensive, abusive, tortious, libelous, defamatory or other illegal purposes.

2.7. Newsletter Opt-Out

There is a feature located on our contact form that allows users to opt-out of receiving newsletters from Codal after completing the form.  If you do not opt out, you will receive regular newsletters from Codal.

2.8. Third Party Services

The Services may direct you to third-party websites that are not owned or maintained by Codal. We aren’t responsible for your use of such third-party websites and we make no representations whatsoever concerning the content or accuracy of, opinions expressed in, or other links provided by such websites. The inclusion of any link to a third-party website does not imply any association between us and their operators. Your use of any third-party websites is governed by the terms of such third-party websites and not these terms.

2.9. Ownership of Codal

Codal retains all rights (including Intellectual Property Rights as defined below), the title and interest in the Services, and all underlying technology and data. You will not permit others to reverse engineer, decompile, disassemble, merge, copy, use, disclose, sell or transfer the underlying source code or structure or sequence of the Codal’s technology or delete or alter author attributes or copyright notices. You shall use the Services solely for individual use.

Intellectual Property Rights means all intellectual property rights (through the universe, in all media, now existing or created in the future, for all versions and elements, in all languages, and for the entire duration of such rights) arising under statutory or common law, contract, or otherwise, and whether or not perfected, including, without limitation, (a) all rights associated with works of authorship including, without limitation, copyrights, moral rights, copyright applications, copyright registrations, synchronization rights; (b) rights associated with trademarks, service marks, trade names, logos, trade dress, and the applications for registration and registrations of trademarks and service marks; (c) rights relating to the protection of trade secrets and confidential information; (d) rights analogous to those set forth in this definition and any and all other proprietary rights relating to intangible property; and (e) divisions, continuations, renewals, reissues, and extensions of the foregoing (as and to the extent applicable) now existing, later filed, issued, or acquired.

2.10. Feedback License

User hereby grants Codal an unlimited, non-exclusive, sub-licensable, assignable, royalty-free, perpetual, irrevocable, for all the countries and territories through the world, right and license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes), communicate, publish, publicly perform, publicly display and distribute such any suggestions, feedback, recommendations, comments and know-how that you provide to Codal regarding the Site and our Services.

2.11. Notices

All notices to Codal must be in writing and must be sent by registered mail, certified mail, or overnight mail to Codal, 433 West Van Buren Street, Suite 205, Chicago IL 60607 with a return receipt requested.

2.12. Ethics Reporting

Codal has in place procedures for reporting unethical practices and corruption. If Codal users become aware of any issue or practice involving any potential conflicts of interest, bribery, corruption, or other types of ethical behavior, you are encouraged to report this matter to Codal’s Ethics Committee by contacting [email protected]. If you would prefer to contact our Ethics Committee anonymously you may send an anonymous letter to Ethics Department, Codal, 433 West Van Buren Street, Suite 205, Chicago IL 60607.

2.13. Warranties

You expressly agree that use of the Services and reliance on its content is at your own risk. Codal, its affiliates and their respective third-party licensors do not make any representations or warranties of any kind regarding the Site, the software, the Content, the materials, or the results that may be obtained from use of any of the foregoing. The service is provided on an “As Is, As Available” basis, and Codal, its affiliates, and their respective third-party licensors specifically disclaim any and all express or implied warranties including, without limitation, the warranties of fitness for a particular purpose, warranties of merchantability and warranties of noninfringement. Codal and its affiliates make no representations or warranties, expressed or implied, to any actual or prospective user of our service; as to the advertised terms, if any; or as to the accuracy or completeness of any information about a listing. Codal reserves the right, in its sole discretion, to correct any error or omission on the Services or in the content. Codal does not make and expressly disclaims any representations, warranties, or guarantees to you regarding the service, including, without limitation, any representations, warranties or guarantees. For purposes of this warranty disclaimer, “third-party licensor” does not include you. Some states do not allow the disclaimer of implied warranties, so this statement may not apply to you.

2.14. Limited Guarantee

Codal shall make all commercially reasonable efforts to ensure that any interface or integration from a third-party provider or system as part of the Services operates correctly. Notwithstanding, you acknowledge that the successful operation of any interface or integration is dependent upon the technical set up of said third party systems, such as AWS. Accordingly, you agree that: (i) Codal cannot be held liable for any failures in the operation of the interface or integration resulting from acts or omissions by you or the third party; (ii) Codal shall have no liability or obligation whatsoever to you in relation to the Content on or use of, or correspondence with any third party website or service available via the Services.

If an issue arises with regard to the effective operation of an interface or integration to a third-party provider or system, Codal will use its commercially reasonable efforts to resolve the issue.

2.15. Limitation of Liability

You use the Services at your own risk. Codal does not assume any responsibility for errors or omissions in the information or software or other documents, including User Content, which is referenced by or linked to. In no event shall Codal be liable for any indirect or consequential damages, except in cases of intentional misconduct or gross negligence.

2.16. Indemnification

You will indemnify and hold Codal Inc., its parents, subsidiaries, affiliates, officers, and employees harmless (including, without limitation, from all damages, liabilities, settlements, costs and attorneys’ fees) from any claim or demand made by any third party due to or arising out of your access to the Services, use of the Services, your violation of this Agreement, or the infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

2.17. General Terms

2.17.1. Term and Termination.

The term hereof shall begin on the date that comes first of: (i) your first access to the Site; (ii) your first access or execution of any of our Services; or (iii) Codal begins providing its Services to you. The term hereof will automatically terminate on the earlier date of either your: (i) account deactivation or suspension; (ii) written termination or revocation of our Services; (iii) Codal’s termination of these Terms, at our sole discretion; (iv) the termination date indicated by Codal to you from time to time; or (v) Codal’s decision to make the Site or Services unavailable for use, at our sole discretion.

2.17.2. Governing Law

These Terms of Use are governed by the laws of the State of Illinois, without giving effect to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction and venue in the state and federal courts sitting in Cook County, Illinois for any and all disputes, claims and actions arising from or in connection with the Services and/or these Terms of Use. Codal operates the Services from its offices in Illinois, and we make no representation that the Services is appropriate or available for use in other locations.

2.17.3. Force Majeure

If Codal cannot perform any obligation hereunder, including maintaining regular Services, as a result of any event that is beyond its control, including all possible acts of god, including pandemic, Codal’s delay or failure to perform such obligation shall be excused and Codal shall not be liable for any damages as a result of, or in connection with, such delay or such failure.

2.17.4. Termination

You understand and agree that in Codal’s sole discretion, and without prior notice, your access to this Services may be terminated or suspended, and Codal may exercise any other remedy available and remove any Content, if it believes that your use of the Services and/or any Content or reference information you provide (a) violates (i) these Terms of Use, (ii) the rights of Codal, its affiliates, a Licensor, or another User, or (iii) any law or regulation, or are otherwise objectionable or inappropriate or (b) constitute fraudulent or unlawful activity of any nature. You agree that monetary damages may not provide a sufficient remedy to Codal for violations of these Terms of Use, and you consent to injunctive or other equitable relief for such violations without the requirement that Codal post a bond. Codal is not required to provide any refund to you if your use is terminated as a result of Codal’s determination, in its sole discretion, that you have violated these Terms of Use.

2.17.5. Binding Provisions

These Terms of Use shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns. The rights under this Terms of Use or any license granted hereunder may not be assigned, sub-licensed or otherwise transferred by User without the prior written consent of Codal, which retains the right to withhold consent in its sole discretion.

2.17.6. Enforcement

You understand and agree that any individual or entity that violates any term of these Terms of Use is precluded from enforcing, agrees not to enforce, and covenants not to sue to enforce, any similar or related provision in any contract, including terms and conditions, terms of use and Terms of Use, asserted by such individual, entity or any affiliate thereof, as binding upon Codal or any of its affiliates.

2.17.7. Entire Agreement

Except as provided herein, the terms and conditions of this Terms of Use constitute the entire agreement between the parties and supersede all previous agreements and understanding, whether oral or written, between the parties hereto with respect to the subject matter of this Terms of Use.
